Bank of the West seeks a Legal Professional with expertise in Employment Law and Human Resources transactions to provide legal counsel to our Human Resources Department and Business Units.

In this key role, you will:
Provide legal counsel to the Human Resources Department and work with the business units to ensure compliance with labor and employment-related statutory and regulatory requirements; develop employment related policies and procedures; respond to administrative claims; drafts and negotiates employment-related agreements, and provide counseling on day-to-day employee relations issues.
Specifically, you will:
1. Provide legal advice to the Human Resources Department, Bank management and business executives on day-to-day employee-related issues, including employee recruiting, hiring, training, job classification (exempt vs. non-exempt), possible disciplinary action and termination and/or separation.
3. Prepare and review employee-related contracts, including employment agreements, confidentiality agreements, separation agreements and non-solicitation agreements.
4. Provides legal advice in developing employee manuals; develop labor and employment law training materials.
5. Conduct on-site audits of Human Resources practices, assesses legal compliance and plans corrective action as appropriate. Perform
systematic review of statutory compliance issues.
6. Handle the defense of employment-related claims at the agency level.
7. Provide legal support to outside counsel defending workmen’s compensation claims.
8. Assist in retaining and managing outside counsel handling employment-related litigation; actively manages and oversees both budget and work product; provide direction and strategy to outside counsel.
9. Keep informed of labor and employment-related legislative proposals and legal developments; studies proposed and existing legislation affecting the Bank, and counsel management regarding impact.
10. Collaborate with other members of the Legal Department regarding employment-related issues.
11. Provide suggestions to management to improve overall quality and efficiency of day-to-day operations.
12. Perform other duties and special projects as assigned.
Minimum Requirements:
Required Education or Equivalent Experience
• J.D. from an ABA approved law school
• Candidate must be a member of the California State Bar or otherwise qualified to practice law in California as house counsel
Required Experience
• Labor and employment law experience
• 6+ years experience with law firm and/or large financial institution legal department strongly preferred
Administrative/Technical Skills

• Ability to work well with personnel and inspire confidence at all levels of the organization

Bank of the West seeks a self-motivated legal professional and team player with expertise in Commercial Real Estate transactions to provide legal counsel to our real estate lending and properties management groups.

In this key role, you will;
Provide legal counsel to the Corporate Real Estate Group (which manages the Bank’s real estate properties) and offer legal support to those business units responsible for commercial real estate lending.
Specifically, you will:
• Provide legal advice on transactions involving Bank-owned real estate, including leasing, acquisitions and dispositions
• Provide legal advice related to real estate lending activities collateralized by commercial real estate
• Prepare and review contracts, leases, loan documentation, formal agreements, and any other transactional documentation related to real estate activities
• Retain and manage outside counsel as warranted; actively manage and oversee both budget and work product; provide direction and strategy to outside counsel
• Remain current on legislative proposals which would specifically affect Bank real estate transactions
• Study proposed and existing legislation affecting the Bank, and counsel management regarding impact
• Collaborate with other members of the Legal Department, such as Bank regulatory counsel regarding permissible holdings by the Bank
• Consult with Bank litigation counsel on litigation or pre-litigation issues related to the Bank’s real estate transactions or holdings
• Provide suggestions to management to improve overall quality and efficiency of day-to-day operations
Candidates must possess:
• J.D. from an ABA approved law school
• Membership with the California State Bar or otherwise qualified to practice law in California as house counsel
• Commercial real estate transactions experience, including acquisitions, dispositions, leasing and financing
• 6+ years of experience with law firm and/or large financial institution legal department strongly preferred.
• Excellent negotiation, planning, organizational, analytical, research, and written/verbal communication skills
• A high level professionalism
• The ability to work well in a team-oriented environment and inspire confidence at all levels of the organization
• The willingness to work on all types of matters, large and small, with the ability to successfully navigate changing environments and excel in a fast-paced environment
• A work history with a demonstrated track record of performance
• PC proficiency
